Our Corporate Law and Governance team advises a large amount of publicly and privately-held companies in matters of compliance on corporate and capital markets legislation and regulation.

We assist managers of publicly-held companies in complying with their fiduciary duties, including in matters of mergers and acquisitions, tender offers, and other corporate transactions. We also advise them on daily affairs, heeding required or recommended corporate governance practices.

Our team is frequently retained for high complexity corporate governance matters, such as formation of special committees, relationship with shareholder activism, arrangement of boards of directors with independent members, analysis of conflict of interest scenarios, transactions with related parties, executive compensation, as well as representation before the Securities and Exchange Commission of Brazil – CVM and the Council of Appeals for the National Financial System – CRSFN in connection with enforcement actions.
